BY SUBMITTING THE VIDEO, IMAGES, SOUNDS AND/OR LIVE-STREAM (COLLECTIVELY, “VIDEO CONTENT”), YOU AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS (“VIDEO SUBMISSION TERMS”). These Video Submission Terms are incorporated into, and subject to, the Qsee Terms of Service. To the extent that these Video Submission Terms conflict with our Terms of Service, these Video Submission Terms shall apply.
By submitting the Video Content you grant Qsee Technologies, Inc. (“Qsee”) and its assignees, licensees, successors in interest, legal representatives and heirs a worldwide, non-exclusive, irrevocable, perpetual, sub-licensable, transferable, royalty-free, and fully paid-up right and license to use, copy, adapt, modify, distribute, transmit, stream, broadcast, publicly perform, reference, store, cache, license, sell, transfer and otherwise exploit (including through its distribution channels) the Video Content for promotional and marketing purposes. You hereby waive any right to inspect or approve the Video Content or printed or electronic matter that may be used in conjunction with such content now or in the future and you waive any right to royalties or other compensation arising from or related to the use of the Video Content.
You hereby make all warranties, representations and guarantees with respect to the Video Content that you make with respect to Content as defined in the Qsee Terms of Service. You agree that the underlying intellectual property of the Video Content remains the property of its rightful owner, and no transfer of ownership shall be affected by virtue of submitting the Video Content. You hereby grant Qsee the irrevocable, worldwide, royalty-free, fully transferable right and license to reprint, copy, transmit, display, reproduce, perform, use, create derivative works from, and exhibit any Video Content submitted by you. This grant of right and license will be non-exclusive with respect to the Video Content. You hereby represent and warrant that any Video Content is original to you and do not violate or infringe upon the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any person or entity, and do not violate any laws, rules or regulations. If the Video Content contains any content or elements that are not owned by you and/or which are subject to the rights of third parties, you represent that you have obtained, prior to submission of the Video Content, any and all releases and consents necessary to permit use and exploitation of the Video Content by Qsee without additional compensation of any kind.
You represent and warrant that the Video Content does not contain information considered by you, your employer, employees or personnel, or any other third party to be confidential. You agree that Qsee has the right to verify the ownership and originality of all Video Content and that, upon Qsee’s request, you must submit a written copy of any release or permission you have received from a third party granting you the right to use such property. RELEASE: BY SUBMITTING THE VIDEO CONTENT, YOU RELEASE AND AGREE TO HOLD HARMLESS QSEE FROM ANY LIABILITY WHATSOEVER FOR ANY CLAIMS, COSTS, LOSSES, OR DAMAGES OF ANY KIND (INCLUDING, WITHOUT LIMITATION, THOSE RELATED TO PERSONAL INJURY, DEATH, DAMAGE TO PROPERTY, INFRINGEMENT OF PROPRIETARY RIGHTS, RIGHTS OF PUBLICITY OR PRIVACY OR DEFAMATION) ARISING OUT OF OR IN CONNECTION WITH THE VIDEO CONTENT. By submitting your video to Qsee, you represent and warrant that you have full power and authority to agree to these Video Submission Terms, including without limitation the power and authority to grant all rights and licenses relating to the Video Content. It is at the discretion of Qsee to decide whether and how to use the Video Content.
